# TOOLS CUBE Terms of Use Agreement

## Introduction
TOOLS CUBE online store welcomes you and informs you that below you will find the terms and conditions governing your use of this store and all legal effects resulting from your use of the store’s services through this electronic platform on the internet. The use of TOOLS CUBE by any person, whether as a consumer of a service or product or otherwise, constitutes acceptance and agreement from them—with full legal capacity according to Sharia, regulations, and law—to all articles and provisions of this agreement. It is also a confirmation of your commitment to its regulations and what is stated therein. This agreement applies to all types of transactions between the consumer and TOOLS CUBE. This agreement becomes effective and binding as soon as you agree to it and start registering in TOOLS CUBE, in accordance with Article Ten of the Saudi Electronic Transactions Law.

## Article One – Introduction and Definitions
**The above preamble is considered an integral part of this agreement. Below you will also find the indications and definitions of the key terms used in this agreement:**
1. **TOOLS CUBE:** This definition includes all forms of the store on the internet, whether it is an electronic application, a website on the internet, or a physical store.
2. **The Consumer:** The person who engages in e-commerce in order to obtain products or services provided by TOOLS CUBE through its electronic platform.
3. **The Agreement:** This term refers to the terms and conditions of this agreement, which govern and regulate the relationship between the parties to this agreement.

## Article Two – Legal Capacity of the Consumer
1. The consumer acknowledges that they have the legal capacity, as recognized by Sharia and regulations, to interact with TOOLS CUBE, or that they are at least eighteen years old.
2. The consumer agrees that if they violate this article, they bear the consequences of such violation towards others.

## Article Three – Nature of Commitment
1. TOOLS CUBE’s commitment towards consumers is to provide the (service or product).
2. TOOLS CUBE may provide other services such as after-sales services or other related services, depending on the nature and type of (service or product) requested by the consumer.

## Article Four – Usage Regulations
1. The consumer is obligated to use TOOLS CUBE’s electronic platform in accordance with public morals and the applicable regulations in the Kingdom of Saudi Arabia.
2. When purchasing a service or product from TOOLS CUBE, the consumer undertakes not to use this service or product in a manner that violates public morals and the applicable regulations in the Kingdom of Saudi Arabia.

## Article Five – Accounts and Registration Obligations
Upon applying for membership in TOOLS CUBE as a user, you are required to disclose specific information and choose a username and secret password to use when accessing the store’s services. By doing so, you agree to:
1. Be responsible for maintaining the confidentiality of your account information and password and to promptly notify TOOLS CUBE of any unauthorized use of your account information or any other breach of your confidential information.
2. TOOLS CUBE shall not, under any circumstances, be liable for any loss that may occur to you directly or indirectly, morally or materially, as a result of disclosing your username or password.
3. TOOLS CUBE may impose fees on some consumers depending on the offers, products, or services they request, or based on any fees or taxes imposed by the state on the nature of the product or service.
4. TOOLS CUBE reserves the right to add, increase, reduce, or deduct any fees or expenses under the terms and provisions of this Terms of Use Agreement, for any consumer regardless of their reason for registration.

## Article Eight – Payment Services for Store Transactions
1. TOOLS CUBE, through its partners, provides a payment system that may be conducted entirely online using the available payment options in the store or through any other payment method provided by TOOLS CUBE from time to time.
2. TOOLS CUBE is committed to determining the price of the service or product it offers in the store according to the recognized market value.
3. TOOLS CUBE is obligated to provide invoices, receipts, and collection vouchers for all amounts and profits generated in its store, and must provide the consumer with an invoice for their purchase of any service or product.
4. TOOLS CUBE is committed to providing the recognized accounting specifications in its online store, in accordance with the provisions of this agreement and due to the legal, economic, commercial, and regulatory interests involved.

## Article Nine – Intellectual Property
1. The intellectual property rights of TOOLS CUBE are fully owned by TOOLS CUBE, whether these rights were owned before or after the establishment of this electronic platform.
2. The consumer shall respect the intellectual property rights of TOOLS CUBE, including the store name, words, logos, and other symbols related to or displayed on TOOLS CUBE. All rights associated with the TOOLS CUBE name are fully owned intellectual property of TOOLS CUBE.

## Article Ten – TOOLS CUBE Responsibility
1. TOOLS CUBE is committed to conducting its commercial activities through this electronic platform in a lawful manner, in accordance with the applicable regulations in the Kingdom of Saudi Arabia and the provisions of this agreement.
2. TOOLS CUBE bears no responsibility for any claims arising from errors or negligence, whether directly, indirectly, incidentally, or by the consumer or a third party such as shipping companies.
3. TOOLS CUBE, its employees, owners, and representatives are committed to ensuring that the (product or service) is sound, legal, and authorized in accordance with the laws and regulations of the Kingdom of Saudi Arabia and used for legitimate purposes.

## Article Eleven – Restriction of Access or Membership
TOOLS CUBE may suspend or cancel the consumer’s membership or restrict the consumer’s access to the platform’s services at any time, without notice and for any reason, without limitation.

## Article Twelve – Governing Law
This Terms of Use Agreement is governed and drafted in accordance with the laws, regulations, and legislations in force and applicable in the Kingdom of Saudi Arabia, and is fully subject to the regulations in force by the authorities in the Kingdom of Saudi Arabia.

## Article Thirteen – General Provisions
1. If any article or provision of this Terms of Use Agreement is canceled or becomes invalid, such occurrence does not invalidate the validity of the remaining articles, provisions, and terms of the Terms of Use Agreement, which shall remain in effect until further notice from TOOLS CUBE’s management.
2. This Terms of Use Agreement—which may be amended from time to time as necessary—constitutes the agreement, working mechanism, understanding, contract, and arrangement between TOOLS CUBE and the consumer. Both parties agree to take the following into consideration:
– The Arabic language is the language used for interpreting the provisions of this agreement or when translating it into another language.
– All prices displayed for TOOLS CUBE’s services or products may be changed from time to time.
– Promotional or marketing offers that may be provided by TOOLS CUBE are temporary offers; TOOLS CUBE has the right to modify or discontinue these promotional or marketing offers at any time.
– The parties to this agreement are obligated to interact with each other in a manner that does not violate Sharia rules, applicable regulations, and laws related to the nature of the relationship between TOOLS CUBE and the consumer.
– This Terms of Use Agreement may only be canceled by a decision issued by TOOLS CUBE’s management.
